Terms and Conditions

1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of services provided by Socials 10x ("Socials 10x", "we", "us", or "our"), a B2B lead generation agency based in Mumbai, Maharashtra, India. By engaging our services or accessing socials10x.com (the "Site"), you ("Client" or "you") agree to be bound by these Terms.
2. Services
Socials 10x provides B2B lead generation and outbound marketing services, including but not limited to LinkedIn outbound, WhatsApp outreach, Reddit and Quora marketing, Facebook group engagement, and X (formerly Twitter) and Threads outreach. The specific scope, deliverables, channels, timelines, and fees for each engagement will be set out in a separate proposal, statement of work, or order form ("SOW") that incorporates these Terms by reference.
3. Client Responsibilities
You agree to provide Socials 10x with all necessary information, access credentials, brand assets, ideal customer profile details, and approvals required to perform the services. You are responsible for the accuracy and legality of all materials and information you provide and for ensuring that any third-party accounts (LinkedIn, WhatsApp Business, X, etc.) used for outreach comply with the terms of those platforms.
4. Fees and Payment
Fees, payment schedule, and currency are as specified in the SOW. Unless otherwise agreed, invoices are payable within seven (7) days of the invoice date. Applicable GST and other statutory taxes will be charged in addition. Late payments may attract interest at 1.5% per month or the maximum rate permitted by law, whichever is lower, and may result in suspension of services.
5. Term and Termination
Engagements continue for the term specified in the SOW. Either party may terminate for material breach if the breach is not cured within fifteen (15) days of written notice. Either party may terminate for convenience with thirty (30) days' written notice. Upon termination, you will pay for all services performed up to the effective date of termination.
6. Refund Policy
Given the nature of lead generation services, fees paid are generally non-refundable once campaign setup and outreach activity has commenced. If you cancel a paid engagement before campaign launch, we will refund the fee paid for the unstarted portion of the engagement, less any onboarding, setup, list-building, and third-party costs already incurred. No refund will be issued for completed months of service, delivered leads, or for failure to convert leads into customers, which depends on factors beyond our control. Refund requests must be submitted in writing to hello@socials10x.com.
7. Performance and Disclaimers
We will perform the services in a professional manner using reasonable skill and care. We do not guarantee any specific number of leads, meetings booked, revenue, conversion rate, or business outcome. All projections or examples shared are illustrative only. The services are provided on an "as is" and "as available" basis to the maximum extent permitted by law.
8. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party, including business plans, customer lists, pricing, prospect data, campaign performance, and technical materials ("Confidential Information"). Confidential Information will be used solely for the purpose of performing or receiving the services and will not be disclosed to third parties without prior written consent, except to employees, contractors, or advisors bound by similar confidentiality obligations. These obligations survive for two (2) years after termination.
9. Intellectual Property
Each party retains ownership of its pre-existing intellectual property. Upon full payment, you receive a non-exclusive licence to use the campaign deliverables (copy, message templates, lead lists generated for you) for your internal business purposes. Socials 10x retains the right to use anonymised, aggregated performance data and to reference the engagement for case-study and marketing purposes, unless you opt out in writing.
10. Data Protection
Both parties will comply with applicable data protection laws, including the Digital Personal Data Protection Act, 2023 (India). Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.
11. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the services will not exceed the fees paid by you to Socials 10x in the three (3) months immediately preceding the event giving rise to the claim.
12. Indemnity
You agree to indemnify and hold Socials 10x harmless against any claims, damages, or expenses arising out of (a) content, data, or materials you supply, (b) your products or services that are the subject of the outreach, or (c) your breach of these Terms or applicable law.
13. Force Majeure
Neither party will be liable for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, war, terrorism, civil unrest, pandemics, government action, internet or platform outages, or changes to third-party platform policies.
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. The courts at Mumbai, Maharashtra shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the services, subject to any agreed arbitration under the Arbitration and Conciliation Act, 1996.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email or by posting on the Site. Continued use of the services after the effective date of changes constitutes acceptance of the updated Terms.
